Terms of Service

1. Acceptance of Terms

By accessing the FixLogic website at fixlogic.co, creating an account, or using the FixLogic software platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business. If you do not agree, do not use the Service.

2. The Service

FixLogic is a software-as-a-service platform for independent repair shops, providing point-of-sale, ticketing, inventory, customer communications, reporting, and related tools. The Service is delivered over the internet and accessed via a web browser. You are responsible for maintaining the internet connection, hardware, and supported browsers needed to use the Service.

3. Account Registration & Security

  • You must provide accurate and complete information when creating your account.
  • You are responsible for all activity that occurs under your account credentials.
  • You agree to keep your password and any API keys confidential and to notify us promptly of any suspected unauthorized access.
  • You are responsible for managing the access of your own staff users within the Service. You may grant or revoke their access at any time.

4. Subscription, Billing, and Cancellation

  • Pricing is published on the pricing page and confirmed at the time you sign up.
  • Subscriptions are billed on a recurring monthly basis, in advance, on the date you signed up. Multi-store and annual options may be offered separately and are governed by their own quoted terms.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; we do not pro-rate partial months.
  • Failed payments will be retried; if a subscription remains unpaid after a reasonable cure period, we may suspend or terminate access. We will notify you before suspending the account.
  • All fees are exclusive of taxes; you are responsible for any sales, use, or VAT applicable to your subscription.

5. Customer Data & Ownership

  • You retain ownership of all data you, your staff, or your customers enter into the Service (“Customer Data”). We do not claim ownership of Customer Data.
  • We process Customer Data on your behalf only as needed to provide the Service. Specific data-handling commitments are described in our Privacy Policy.
  • You can export your Customer Data at any time using in-app export tools. On account termination, we will retain your Customer Data for a 30-day grace period during which you can export, after which it will be deleted from active systems.
  • You are solely responsible for the lawfulness of any Customer Data you upload, including obtaining any necessary consents from your end customers (e.g., SMS opt-ins required by US carrier rules).

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Send spam, unsolicited marketing, or any communications in violation of TCPA, CAN-SPAM, or applicable carrier rules.
  • Attempt to gain unauthorized access to any part of the Service, other tenants’ data, or our infrastructure.
  • Reverse engineer, scrape, or republish substantial portions of the Service or its source code.
  • Resell, sublicense, or grant access to the Service to any third party without our written consent.
  • Upload malware, exploit content, or use the Service to attack any other system.

7. Service Availability

We strive for high availability but do not currently guarantee a specific uptime percentage. The Service may be unavailable due to scheduled maintenance, infrastructure issues, or factors outside our control. We will use reasonable efforts to provide advance notice of scheduled maintenance windows. As FixLogic matures and exits beta, a formal SLA may be added; until then no SLA is implied.

8. Third-Party Services

The Service integrates with third-party providers (for example: Supabase for database and authentication, Firebase for hosting, Brevo for email, Twilio for SMS, BlockChyp for card processing, MobileSentrix / Amazon Business / eBay for supplier data, and Google AI for AI-assisted features). Your use of these third-party services through FixLogic is also subject to their respective terms and privacy policies. We are not responsible for outages or actions of third-party providers.

9. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by FixLogic and Fiks’d IT, LLC and protected by applicable intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service for the duration of your active subscription, solely for your repair-shop business operations.

10. Limitation of Liability

To the maximum extent permitted by law, FixLogic and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising from your use of or inability to use the Service.

Our aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless FixLogic, Fiks’d IT, LLC, and their officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

12. Termination

  • You may terminate your account at any time via in-app cancellation or by emailing us.
  • We may terminate or suspend your account for material breach of these Terms, unpaid balances after a reasonable cure period, or activity that endangers the Service or other tenants.
  • Upon termination, your right to access the Service ceases. Customer Data export is available during the 30-day grace period described in §5.

13. Modifications to Service or Terms

We may modify the Service over time, including adding or removing features. Material changes that adversely affect your use will be communicated with reasonable notice. We may also update these Terms; the “Last updated” date at the top of this page reflects the most recent version. Continued use of the Service after a Terms update constitutes acceptance of the revised Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Pettis County, Missouri, and you consent to the jurisdiction of those courts.
